OVERVIEW

This website is operated by XZT Bag Hardware, the trade name of Guangdong Xinzhongtuo Metal Products Co., Ltd. (广东新众拓金属制品有限公司).

Throughout this website, the terms “we”, “us”, “our”, and “XZT Bag Hardware” refer to Guangdong Xinzhongtuo Metal Products Co., Ltd.

We specialize in the manufacture, customization, wholesale and supply of bag hardware, metal accessories and related products for handbags, luggage, leather goods and other applications.

By visiting our website, submitting an inquiry, requesting a quotation, ordering samples, placing an order, or otherwise using our services, you agree to these Terms of Service.

These Terms apply primarily to business-to-business (B2B), wholesale, OEM, ODM and custom manufacturing transactions.

If a separate quotation, proforma invoice, purchase agreement, sales contract, drawing approval, sample approval or other written agreement has been issued for a specific order, the terms of that document will prevail in the event of any conflict with these Terms.


SECTION 1 - BUSINESS INQUIRIES AND QUOTATIONS

Customers may submit inquiries through our website, email, WhatsApp or other approved communication channels.

To provide an accurate quotation, customers may be required to provide information including, but not limited to:

- Product model or reference
- Drawings, samples or reference images
- Dimensions and specifications
- Material requirements
- Surface finish or color
- Logo or branding requirements
- Estimated quantity
- Packaging requirements
- Destination country
- Special testing or compliance requirements

All quotations are based on the information available at the time the quotation is issued.

Unless otherwise stated in writing, quotations are subject to confirmation before an order is accepted.

Prices may change if there are changes in material costs, exchange rates, specifications, quantities, packaging, shipping arrangements or other order requirements.


SECTION 2 - SAMPLES AND SAMPLE FEES

We may provide existing samples, custom samples or prototype samples upon request.

Sample fees, mold fees, tooling fees, shipping costs and related charges will be confirmed before sample production or shipment.

Sample fees may be refundable, partially refundable, deductible from a future bulk order, or non-refundable depending on the specific quotation or written agreement.

Any such arrangement must be confirmed in writing.

Paid samples are supplied for evaluation, testing, development or purchasing purposes and do not automatically constitute a retail consumer transaction.

International sample shipments may be subject to customs clearance, import VAT, duties, brokerage fees or other destination-country charges.


SECTION 3 - CUSTOM PRODUCTS AND DEVELOPMENT

Custom products may be manufactured according to customer drawings, samples, dimensions, specifications, reference images or approved prototypes.

Customers are responsible for reviewing and confirming all relevant information before mass production, including:

- Dimensions
- Structure
- Material
- Surface finish
- Color
- Logo
- Packaging
- Quantity
- Functional requirements

Once a sample, drawing, specification or production standard has been approved by the customer, mass production may proceed based on that approval.

Any change requested after approval may result in additional cost, revised lead time or re-sampling.


SECTION 4 - MOLDS, TOOLING AND DEVELOPMENT COSTS

Certain custom products may require molds, tooling, fixtures, dies or other production preparation.

Mold and tooling charges will be quoted separately where applicable.

Ownership, storage period, maintenance responsibility and permitted use of molds or tooling will be determined by the applicable quotation or written agreement.

Unless otherwise agreed in writing, payment of a mold or tooling fee does not automatically transfer ownership of the physical tooling or associated manufacturing know-how to the customer.


SECTION 5 - ORDER ACCEPTANCE

An inquiry, purchase request or payment does not automatically mean that an order has been accepted.

An order is considered accepted only after we have confirmed the relevant specifications, commercial terms and payment arrangements.

We reserve the right to decline an order where:

- Specifications cannot reasonably be achieved
- Required information is incomplete
- Requested use appears unlawful or infringing
- Payment terms cannot be agreed
- Production capacity is unavailable
- The order presents unusual commercial, compliance or technical risks


SECTION 6 - PRICING AND PAYMENT

Prices may be quoted in USD, RMB or another agreed currency.

Payment methods and payment schedules will be specified in the quotation, proforma invoice, invoice or sales agreement.

Depending on the order, payment terms may include:

- Full payment before production
- Deposit before production and balance before shipment
- Sample payment before sample preparation
- Other payment arrangements agreed in writing

Bank charges, payment processor fees, intermediary bank fees and currency conversion costs may be borne by the customer unless otherwise agreed.

Production may not begin until the required deposit or payment has been received.


SECTION 7 - PRODUCTION LEAD TIME

Production lead times are estimates based on the information and production conditions available at the time of confirmation.

Lead time may be affected by:

- Sample approval
- Design changes
- Material availability
- Tooling or mold development
- Order quantity
- Surface treatment requirements
- Packaging requirements
- Peak production periods
- Customer delays in approval or payment
- Events outside our reasonable control

We will make reasonable efforts to meet agreed production schedules but do not guarantee delivery dates unless expressly agreed in writing.


SECTION 8 - MANUFACTURING TOLERANCES AND PRODUCT VARIATION

Metal hardware manufacturing involves normal production tolerances.

Minor variations may occur in:

- Dimensions
- Weight
- Surface texture
- Color
- Plating tone
- Polishing
- Assembly
- Packaging
- Appearance between production batches

Such variations are not considered defects where they fall within accepted industry standards, approved samples, agreed specifications or reasonable manufacturing tolerances.

Customers requiring specific tolerances, testing standards or color standards must notify us before quotation and production.


SECTION 9 - SURFACE FINISH AND COLOR

Plating, coating, painting, polishing, electrophoresis, PVD, antique finishes and other surface treatments may show minor differences between samples and mass production or between production batches.

Colors displayed on computer monitors, mobile devices, photographs or digital renderings may differ from the actual physical product.

Where color consistency is critical, the customer should approve a physical sample or agreed reference standard before production.


SECTION 10 - CUSTOMER DRAWINGS, LOGOS AND INTELLECTUAL PROPERTY

Customers may provide drawings, logos, trademarks, product designs, reference samples or other materials for custom production.

By providing such materials, the customer represents that they have the necessary rights, authorization or permission to use them.

The customer is responsible for any intellectual property claim arising from materials, trademarks, logos, designs or specifications supplied by the customer.

We reserve the right to refuse any project that we reasonably believe may infringe third-party intellectual property rights.

Unless otherwise agreed in writing, the customer retains ownership of its own trademarks, logos and proprietary materials.

Our manufacturing methods, technical know-how, production processes, non-customer-specific tooling knowledge and proprietary operating methods remain our property.


SECTION 11 - QUALITY INSPECTION

We perform reasonable quality control during production and before shipment.

Inspection may include, depending on the product:

- Dimensions
- Structure
- Appearance
- Surface finish
- Color
- Assembly
- Functional performance
- Quantity
- Packaging

Customers requiring third-party inspection, special testing, laboratory reports or specific compliance certification must notify us before order confirmation.

Additional inspection or testing costs may apply.


SECTION 12 - PACKAGING

Standard or customized packaging may be provided according to the quotation or order requirements.

If the customer requires special labels, cartons, barcodes, retail packaging, individual packaging, branded packaging or other customized packaging, such requirements must be confirmed before production.

Changes requested after packaging materials have been produced may result in additional charges.


SECTION 13 - SHIPPING AND DELIVERY

Shipping methods may include courier, air freight, sea freight, rail freight or other agreed transportation methods.

Shipping arrangements, freight charges and Incoterms will be determined in the applicable quotation, invoice or sales agreement.

Delivery times provided by carriers are estimates and may be affected by customs clearance, transportation delays, weather, port congestion, carrier operations, government actions or other circumstances outside our control.

Risk of loss and transfer of title will be determined according to the agreed Incoterm or written sales terms.


SECTION 14 - CUSTOMS, DUTIES, VAT AND IMPORT CHARGES

Unless otherwise agreed in writing, the customer is responsible for import customs clearance and any destination-country charges, including:

- Import duties
- Import VAT
- Customs fees
- Brokerage fees
- Local taxes
- Storage fees
- Clearance charges

We may provide reasonable commercial documents needed for shipment and customs clearance.

We are not responsible for taxes or charges imposed by the destination country unless we have expressly agreed to deliver under terms that include such charges.


SECTION 15 - ORDER CHANGES AND CANCELLATIONS

Customers should review all specifications carefully before confirming an order.

Changes requested after order confirmation may result in:

- Additional charges
- New tooling or mold charges
- Re-sampling
- Material losses
- Packaging losses
- Delayed production

Once custom production, mold development, material preparation, surface treatment or packaging production has begun, cancellation may not be possible.

If cancellation is accepted, the customer may be responsible for costs already incurred.


SECTION 16 - RETURNS AND REFUNDS

Most of our products are manufactured or supplied for B2B, wholesale or custom applications.

Customized, made-to-order, engraved, branded, specially plated, specially colored, specially packaged or customer-specific products are generally not eligible for return or refund due to a change of mind.

If products are alleged to have manufacturing defects or materially fail to meet confirmed specifications, the customer should contact us promptly and provide:

- Order number
- Product details
- Photos or videos
- Quantity affected
- Description of the issue
- Other relevant evidence

We will review the claim and may offer, depending on the circumstances:

- Replacement
- Rework
- Credit
- Partial refund
- Other reasonable solution

Any remedy will be determined based on the nature and extent of the confirmed issue.

Products must not be returned without our prior written authorization.


SECTION 17 - CLAIMS AFTER DELIVERY

Customers should inspect goods promptly after receipt.

Visible shortages, shipping damage or obvious quality issues should be reported as soon as reasonably possible.

For manufacturing-related claims, customers should provide sufficient evidence for us to investigate the issue.

Damage caused by improper storage, misuse, modification, incorrect installation, wear and tear, chemical exposure or improper handling after delivery is not considered a manufacturing defect.


SECTION 18 - INTERNATIONAL SALES

Our products may be supplied to customers in different countries and regions.

The customer is responsible for confirming whether a product is suitable for its intended market and use.

Unless specifically agreed in writing, we do not guarantee that a product automatically satisfies every regulatory, labeling, testing, certification or technical requirement in the customer's destination market.

If specific compliance requirements apply, the customer must notify us before order confirmation.


SECTION 19 - WEBSITE PRODUCT INFORMATION

We make reasonable efforts to present product information accurately.

However, product photographs, renderings, sample images, dimensions, colors and descriptions on the website are for reference unless expressly incorporated into a confirmed quotation or order specification.

Products may be improved, modified or discontinued without prior notice.

Custom production specifications confirmed for a particular order take priority over general website information.


SECTION 20 - WEBSITE USE

You may use this website for lawful business, sourcing, purchasing, communication and informational purposes.

You must not use the website:

- For unlawful purposes
- To transmit malicious software
- To interfere with website operation
- To attempt unauthorized access
- To infringe intellectual property rights
- To submit fraudulent or misleading information

We may restrict access where we reasonably believe there is abuse, fraud, security risk or unlawful activity.


SECTION 21 - LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, XZT Bag Hardware will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profit, business opportunity, reputation or anticipated savings.

Where liability cannot legally be excluded, our liability relating to a specific order will, to the maximum extent permitted by law, be limited to the amount paid to us for the goods or services giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.


SECTION 22 - FORCE MAJEURE

We will not be liable for delay or failure caused by events outside our reasonable control, including but not limited to:

- Natural disasters
- Fire
- Flood
- Epidemics
- War
- Civil unrest
- Government restrictions
- Customs actions
- Port closures
- Transportation disruption
- Power outages
- Labor disputes
- Material shortages
- Carrier delays
- Other force majeure events

Where such an event occurs, we will make reasonable efforts to communicate with the customer and resume performance when reasonably possible.


SECTION 23 - PRIVACY

Personal and business information submitted through our website will be handled in accordance with our Privacy Policy.

Customers should not submit confidential technical or commercially sensitive information through public channels unless appropriate protections have been agreed.


SECTION 24 - CHANGES TO THESE TERMS

We may update these Terms of Service from time to time.

The current version will be published on this website.

Changes will apply prospectively and will not override an already accepted sales contract, quotation or written order agreement unless otherwise agreed.


SECTION 25 - GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the People's Republic of China, unless mandatory applicable law requires otherwise or a separate written agreement specifies different terms.

The parties should first attempt to resolve any dispute through good-faith negotiation.

If a dispute cannot be resolved through negotiation, it may be submitted to the competent courts in Guangzhou, Guangdong, China, unless another dispute resolution method or jurisdiction has been agreed in writing for the relevant transaction.
